Terms of Service

Operator: Agentic Tech LLC, a Georgia limited liability company ("Company", "we", "us", "our"). Platform: myaingel.org and all associated services. By accessing or using My AIngel, you agree to these Terms.
1. Acceptance of Terms
By accessing or using My AIngel, you agree to these Terms. If you do not agree, do not use the Platform.
2. Eligibility & Accounts
- You must be at least 18 years old and able to form a binding contract to use the Platform.
- You agree to provide accurate, current, and complete information and to keep it up to date.
- You are responsible for safeguarding access to your account and for all activity under it.
- Users who receive funds (charities and commission-earning users) must complete identity verification through Stripe before any payout is released (see Section 5).
3. Our Role — Technology Provider Only
- My AIngel is a technology platform that lets users create and interact with personalized AI agents (“Guardian AIngels”) and that facilitates charitable donations to independent nonprofit organizations.
- We are not a charity, bank, money transmitter, payment processor, investment advisor, or professional fundraiser.
- We do not take custody of, hold, or control charitable donations. All payment processing and fund settlement are performed by Stripe. Donations are settled directly into each charity’s own Stripe Connected Account (see Sections 5 and 6).
- We facilitate connections between users, their AIngels, and charities. We do not control or guarantee any charitable outcome.
4. Guardian AIngels — AI Limitations & Guardrails
- Guardian AIngels are AI tools powered by Anthropic Claude. They are not humans and do not provide professional, legal, financial, medical, or tax advice.
- Prohibited Uses: AIngels will not assist with, encourage, or advise on illegal activities, hate speech, harassment, misinformation campaigns, or high-risk financial decisions.
- The Company reserves the right to monitor, filter, or terminate any AIngel activity that violates these rules.
- No Guarantees: Responses are generated probabilistically. We do not warrant accuracy, completeness, or suitability for any particular purpose.
5. Payments & Stripe
- All payments — subscriptions, donations, and payouts — are processed by Stripe, Inc. Your use of payment features is subject to the Stripe Services Agreement and Stripe’s Privacy Policy.
- Subscriptions and AIngel credits are products sold by Agentic Tech LLC, which is the merchant of record for those purchases.
- Donations and payouts are powered by Stripe Connect, Stripe’s product for routing funds to third-party recipients. We integrate Stripe Connect so that each participating charity, and each user who earns commissions, operates its own Stripe Connected Account with a unique account URL and product description. Each such recipient must accept the Stripe Connected Account Agreement, and Stripe performs the identity verification (KYC) and compliance checks required to enable that account.
- Charities receive their share of each donation directly into their own Connected Account. Commission earners receive payouts into their own Connected Account. We do not hold these funds on their behalf.
- Payouts are contingent on the recipient completing Stripe verification and on the associated donation clearing (not being refunded or disputed).
6. Donations & Charitable Activity
- Donations are voluntary gifts to the charity you select. You receive no goods, services, rewards, or equity in exchange, and a donation is not an investment.
- Fund split (disclosed before you donate): a standard 85% goes to the charity, 10% funds the referral/commission pool, and 5% is a platform fee. These rates may vary per charity and are shown at the point of donation.
- Charities are vetted before activation through a multi-step review (see Section 8A). In summary, an authorized representative must confirm control of the organization’s own email domain (via a one-time code), provide the organization’s registration/EIN and proof of authority; we validate that registration against the relevant government charity register (e.g. the IRS or the Charity Commission for England & Wales), screen the organization and its representatives against sanctions lists, and a member of our team manually approves the charity before it is marked verified and can receive funds through its Stripe Connected Account. We nonetheless do not independently guarantee a charity’s legal status; you should confirm a cause’s legitimacy before giving.
- Use of funds. Because donations settle directly into each charity’s own Stripe Connected Account, the recipient nonprofit is responsible for applying the funds to its stated charitable purpose and is accountable under the reporting obligations of its own regulator. We additionally ask verified charities to periodically confirm how the funds they received were used, and we may display that confirmation to donors. We do not guarantee, and are not responsible for, how a charity ultimately spends funds it receives.
- We make no representation about tax deductibility of any donation — consult your own tax advisor.
- Refunds, errors, and disputes are handled as described in Section 9 and our Refund Policy.
7. Referral & Commission Program
- Participation is free. There is no purchase, subscription, or fee required to join the referral program or to earn commissions.
- Commissions are earned only on completed, cleared donations to verified charities that result from your (or your referral network’s) fundraising activity. No commission is ever paid merely for recruiting or referring another person.
- The program is a marketing incentive, not an investment, security, or guaranteed income opportunity. Earnings depend entirely on actual donation activity and are not guaranteed.
- Commissions are reduced or reversed if the underlying donation is refunded, charged back, or disputed.
- Earnings are taxable income. You are solely responsible for reporting and paying any taxes owed.
8. Restricted & Prohibited Activities
- You may not use the Platform for any business or activity prohibited or restricted by Stripe. See our Acceptable Use Policy and Stripe’s Restricted Businesses list, both incorporated by reference.
- Prohibited campaigns and conduct include, without limitation: fraud or misrepresentation; money laundering; raising funds for purposes other than the stated charitable cause; sanctioned parties or jurisdictions; and any illegal, deceptive, or high-risk activity.
- We may decline, hold, reverse, or refund any transaction, and suspend any account, that we or Stripe reasonably believe violates these Terms or applicable law.
8A. Charity Vetting, Screening & Sanctions Compliance
- Onboarding vetting. Before a charity is verified and can receive funds, it passes a layered review: (1) the representative proves control of the organization’s own email domain via a one-time code; (2) they supply the registration/EIN, jurisdiction, website, and proof of authority; (3) we validate the registration number and legal name against the applicable government register (IRS Tax-Exempt Organization Search for the US, the Charity Commission for England & Wales, and equivalent registers where available); (4) we screen the organization, its representatives, and — where published — its trustees against sanctions and watchlists; (5) our compliance team performs a manual review of all signals and approves, holds, or rejects the charity.
- Sanctions screening. We independently screen against consolidated sanctions data that includes the U.S. OFAC (SDN), UK HM Treasury (OFSI), United Nations, and EU consolidated lists, in addition to the screening performed by Stripe. Screening is run at onboarding and on an ongoing, recurring basis, and re-run when sanctions data is updated or a charity’s material details change.
- Geographic controls. Donations and charity claims originating from comprehensively sanctioned jurisdictions are blocked at our edge (including, at the sub-national level, the occupied regions of Ukraine — Crimea, Donetsk, Luhansk, and related oblasts). We also screen campaign text for ties to prohibited jurisdictions and hold flagged campaigns for manual review.
- Recipient KYC. No charity or commission earner can receive money until it completes Stripe’s identity verification (KYC) on its own Stripe Connected Account, as described in Section 5.
- Ongoing monitoring. We may re-screen, request additional documentation, assign a risk rating, hold payouts, or suspend any account at any time to comply with applicable law and our obligations to Stripe.
9. Refunds, Disputes & Chargebacks
- Subscription and credit refunds are governed by our Refund Policy.
- Donations are generally final, but if a donation is made in error, is a duplicate, or is unauthorized, contact us promptly at [email protected] and we will coordinate a refund with the charity and Stripe where possible.
- Disputes and chargebacks are handled through Stripe. A refund or chargeback on a donation will reverse any related commissions.
10. Subscriptions
- Subscriptions provide enhanced access to your Guardian AIngel.
- Fees are charged automatically and are non-refundable except as required by law or as described in our Refund Policy.
- You may cancel anytime via your account settings; cancellation takes effect at the end of the current billing period.
11. User Content & Conduct
- You are responsible for all content you provide to your AIngel.
- You grant us a worldwide license to use such content to operate the service.
- Prohibited conduct includes spam, fraud, intellectual property infringement, or actions that harm the Platform’s reputation.
12. Intellectual Property
- The Platform, AI technology, and all related materials are owned by Agentic Tech LLC.
- You receive a limited license to use your AIngel for personal and philanthropic purposes.
13. Disclaimers & Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided “AS IS” and “AS AVAILABLE”.
- We disclaim all warranties, express or implied.
- AI-Specific: We are not liable for any actions, advice, or outcomes resulting from interactions with Guardian AIngels.
- Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
- We are not liable for indirect, consequential, punitive, or incidental damages.
14. Indemnification
You agree to indemnify and hold harmless Agentic Tech LLC from any claims arising from your use of the Platform, your AIngel content, or your referral activities.
15. Termination
We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion. Pending payouts may be withheld pending resolution of any refund, dispute, chargeback, or investigation.
16. Governing Law
These Terms are governed by the laws of the State of Georgia, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Atlanta, Georgia.
17. Changes to Terms
We may update these Terms. We will notify you of material changes. Your continued use constitutes acceptance.
